Inspiration

In India, software freelancers, designers, and MSMEs face a huge power imbalance in business contracts. Larger corporate clients often slip unfavorable terms—like Net-90 billing cycles or uncapped liabilities—into standard agreements. With legal consults costing upwards of ₹5,000 per hour, small contractors have no choice but to sign. We built NegotiatorGuard AI to democratize contract negotiations, providing small businesses with their own autonomous legal proxy for just ₹99.

What it does

NegotiatorGuard AI is an autonomous negotiation agent. Users upload SOW agreements or paste clause text directly, and set defense rules (e.g., net-30 payment limits). The app runs an intake, risk audit, and representative pipeline. Instead of static audits, it deploys a cooperative AI representative that negotiates terms back-and-forth directly with the client counter-party, defending your preferences and compiling a fully redlined draft agreement.

How we built it

• Backend: FastAPI with Python and SQLAlchemy, storing live agent logs and client history in an SQLite database.
• Frontend: React and Vite, styled with a modern glassmorphic theme incorporating fuchsia-pink, neon green, and electric teal colors. We paired Google Font's serif display Bodoni Moda with Plus Jakarta Sans for a premium Italian look.
• AI Engine: Google Cloud Gemini API to parse documents, calculate risk scores, and write counter-emails.
• Payment Gate: Stripe checkout session simulator for ₹99 premium report unlocks.

Challenges we faced

Handling long-form contract contexts while maintaining fast response speeds was a challenge. We resolved this by configuring Gemini to classify and parse incoming PDF files and text blocks into structured JSON schemas, enabling the Auditor and Representative agents to process negotiation compromises under 2 seconds.

What we learned

We learned that legal audits can be made accessible and highly intuitive. By replacing dry terminal outputs with interactive dials, copy-to-clipboard redline tools, and client counter-offer simulators, we can make complex legal steps highly transparent to everyday business owners.
